1. Provider and agreement
RunBatch is a business name operated by Octavio Herrera, Otto-Weidt-Platz 8, 10557 Berlin, Germany. Contact: info@runbatch.ai.
By creating an account or using RunBatch, you agree to these Terms. If you use RunBatch for an organization, you confirm that you have authority to bind that organization. Mandatory rights that cannot lawfully be limited remain unaffected.
2. The service
RunBatch provides tools to configure, estimate, submit, monitor, and obtain results from managed AI workloads. Features may be marked as preview, beta, coming soon, or provider connection pending. A configuration or estimate is not a promise that execution is available, and no paid inference will run without a clear submission step.
3. Accounts
You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by RunBatch. You may not share an account in a way that bypasses security controls or account limits. During the private beta, registration does not guarantee access to uploads, billing, or compute; RunBatch may approve or revoke beta access to operate a safe, limited pilot.
4. Customer content and instructions
You retain ownership of datasets, prompts, configurations, and other content you submit. You grant RunBatch a limited right to host, copy, transform, transmit, and otherwise process that content only as needed to provide, secure, and support the contracted service. RunBatch will not use customer content to train general-purpose AI models unless you expressly opt in under separate terms.
You must have all rights and lawful bases needed to submit customer content. Do not submit special-category personal data, payment-card data, credentials, unlawful material, or data subject to heightened restrictions unless RunBatch has expressly agreed in writing to handle it.
5. AI providers and outputs
Batch execution may route customer content to third-party model providers identified in the product or supporting documentation. AI outputs may be inaccurate, incomplete, biased, or unsuitable for a particular purpose. You must review outputs before relying on them, especially for legal, medical, financial, employment, credit, safety, or other high-impact decisions. RunBatch does not guarantee a particular output.
6. Prices and prepaid balance
Prices are displayed in US dollars unless stated otherwise. Money added through a top-up becomes prepaid RunBatch balance at a one-to-one dollar value: a $25 top-up adds $25 to the balance. It is not cryptocurrency, an investment, or a transferable virtual currency and does not earn interest.
For new metered batches, confirming reserves the displayed maximum from your prepaid balance without a separate card payment. The RunBatch rates, retry allowance and minimum are saved in the confirmation. We charge provider-reported input and output tokens from every submitted attempt, including consumption from transient failures and refused, truncated or invalid-format answers. Cached input uses the published input rate; output includes provider-reported reasoning tokens. The minimum applies once when any tokens are consumed. Requests without token consumption cost nothing. Automatic retries apply only to reconciled transient provider failures, include only unfinished rows and cannot exceed the confirmed attempt budget. The final charge is rounded up to whole cents, cannot exceed the confirmed reservation and is settled after usage is verified; unused funds are returned. Processing and settlement may pause if provider acceptance or usage is uncertain. Estimates do not guarantee consumption or output quality. Previously issued usage-billed and fixed-price batches retain their original billing terms, as shown in their confirmation.
7. Payments, refunds, and taxes
Stripe processes top-ups and may apply its own payment checks. You authorize the selected charge when you confirm Stripe Checkout. You are responsible for applicable taxes unless RunBatch is legally required to collect them.
Refund requests should be sent to info@runbatch.ai. Refunds are returned to the original payment method where possible. Amounts already consumed by completed batch work are generally non-refundable, except where required by law or where the charged service was not supplied as agreed. Unused balance and statutory withdrawal rights are handled under applicable mandatory law. A refund or chargeback may reduce the corresponding RunBatch balance.
8. Acceptable use
You may not use RunBatch to:
- violate law, third-party rights, sanctions, or export controls;
- generate or process malware, abusive content, fraud, deception, or material that facilitates harm;
- make unlawful high-impact decisions about people or evade required human review;
- probe, disrupt, overload, reverse engineer, or bypass security, rate, billing, or access controls;
- submit data you are not authorized to process or instruct RunBatch to infringe another party's rights.
9. RunBatch intellectual property
RunBatch and its software, design, documentation, recipes, and branding are owned by Octavio Herrera or licensed to him. These Terms grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose while your account is active. No ownership rights are transferred.
10. Confidentiality and data protection
Each party will use reasonable care to protect non-public information received from the other and use it only for the service relationship. Personal data is handled as described in the Privacy Policy. Where RunBatch acts as a processor for customer datasets, an appropriate data processing agreement may supplement these Terms.
11. Availability and changes
We aim to operate RunBatch reliably but do not promise uninterrupted or error-free service. A displayed delivery window is the point when RunBatch stops submitting unfinished work and begins safe cancellation and reconciliation; it is not a guarantee that a third-party provider will finish accepted work by that time. Maintenance, provider failures, security incidents, legal requirements, or force majeure may affect availability. We may change or discontinue preview features and will use reasonable efforts to avoid materially impairing paid functionality without notice.
12. Suspension and termination
You may stop using RunBatch at any time and request account deletion. We may suspend or terminate access where reasonably necessary for security, non-payment, unlawful use, material breach, or risk to the service or others. Where practical, we will give notice and an opportunity to remedy the issue. Provisions that by nature should survive termination remain effective.
13. Warranty
RunBatch will provide paid services with reasonable care and skill. Preview and beta features are provided for evaluation and may change. Except for express commitments and mandatory statutory warranties, no additional warranty is given regarding uninterrupted availability, model behavior, or fitness of AI output for your particular purpose.
14. Liability
RunBatch has unlimited liability only where liability cannot lawfully be excluded or limited, including for intent, gross negligence, culpable injury to life, body or health, guarantees expressly assumed, fraudulently concealed defects, and mandatory liability under applicable product-liability law.
For ordinary negligence, RunBatch is liable only for breach of an essential contractual duty whose performance is necessary for the proper provision of the service and on which the customer may ordinarily rely. In that case, liability is limited to the damage that was foreseeable and typical for this agreement when it was entered into. Liability for all other ordinary negligence is excluded to the maximum extent permitted by law.
Where liability is limited under the preceding paragraph, RunBatch is not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, or anticipated savings, except to the extent such loss was foreseeable and typical for this agreement. For loss of data caused by ordinary negligence, liability is limited to the reasonable cost of restoring the data from a current, adequate backup; customers remain responsible for retaining source datasets and backing up downloaded results.
RunBatch is not responsible to the extent a loss is caused by customer content or instructions, unauthorized or unlawful use, reliance on AI output contrary to these Terms, incompatible customer systems, or a third-party service or event outside RunBatch's reasonable control that RunBatch did not cause and could not reasonably prevent. Statutory rules on contributory fault and the duty to mitigate loss remain applicable.
These limitations also apply to RunBatch's legal representatives, personnel, agents, and subcontractors. They do not alter the agreed scope of the service or restrict mandatory consumer rights.
15. Governing law and venue
German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice does not deprive you of mandatory protections of your country of habitual residence. Courts in Berlin have exclusive jurisdiction only where the user is a merchant, a public-law entity, or otherwise may validly agree to that venue.
16. Consumer dispute resolution
RunBatch is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
17. Changes and contact
We may update these Terms to reflect service, security, or legal changes. Material changes will be announced in advance where reasonably possible. Continued use after the effective date of revised Terms may require renewed acceptance. Questions can be sent to info@runbatch.ai.
